If you do not agree to these Terms, you must immediately discontinue use of the Platform. Your continued access or use of the Platform constitutes your acceptance of these Terms and any modifications made to them. We reserve the right to update or modify these Terms at any time without prior notice. It is your responsibility to review these Terms periodically for changes. These Terms constitute a binding legal agreement between you ("User," "you," or "your") and Nashville Big Game Business Ecosystem, LLC ("Company," "we," "us," or "our").
Big Game Nashville is an independent informational resource providing travel guides, event calendars, neighborhood guides, restaurant recommendations, entertainment listings, and general information about Nashville, Tennessee, particularly during major sporting events. The Platform is NOT affiliated with, endorsed by, sponsored by, or officially connected to the National Football League (NFL®), its member clubs, the NFL Host Committee, the Tennessee Titans, or any official Super Bowl® entity. All information provided is for general informational and entertainment purposes only.
You must be at least 18 years of age to use the Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.
3.2 Account ResponsibilitiesIf you create an account on the Platform, you are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
3.3 Prohibited ConductYou agree not to: (a) use the Platform for any unlawful purpose; (b) impersonate any person or entity; (c) upload, post, or transmit any content that is defamatory, obscene, or infringing; (d) attempt to gain unauthorized access to the Platform or its related systems; (e) use automated means (bots, scrapers, spiders) to access or collect data from the Platform without prior written consent; (f) interfere with or disrupt the Platform or servers connected to the Platform; (g) use the Platform to distribute spam, phishing attempts, or malware.
All content, including but not limited to text, graphics, images, logos, icons, audio clips, video clips, data compilations, page layouts, underlying code, and software on the Platform are the property of Nashville Big Game Business Ecosystem, LLC or its content suppliers and are protected by United States and international copyright, trademark, and other intellectual property laws.
4.2 Trademarks"Big Game Nashville" is a trademark of Nashville Big Game Business Ecosystem, LLC. NFL®, Super Bowl®, and all related marks are registered trademarks of the National Football League and are used herein under nominative fair use for informational purposes only. All other trademarks, service marks, and trade names referenced are the property of their respective owners.
4.3 User Content LicenseBy submitting content (reviews, comments, photos, or other materials) to the Platform, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in any media format.
THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ALL INFORMATION REGARDING BUSINESSES, EVENTS, PRICES, HOURS, AND AVAILABILITY IS SUBJECT TO CHANGE WITHOUT NOTICE AND MAY NOT BE CURRENT AT THE TIME OF YOUR VISIT.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NASHVILLE BIG GAME BUSINESS ECOSYSTEM, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (C) ANY CONTENT OBTAINED FROM THE PLATFORM; OR (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100).
You agree to indemnify, defend, and hold harmless Nashville Big Game Business Ecosystem, LLC, its officers, directors, employees, agents, licensors, and suppliers from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys' fees, arising from or related to your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.
Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be settled by binding arbitration in Davidson County, Tennessee, administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitrator's award shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.
8.2 Class Action WaiverYOU AND THE COMPANY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
8.3 ExceptionsNotwithstanding the above, either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of copyrights, trademarks, trade secrets, patents, or other intellectual property rights.
We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
These Terms shall be governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any legal proceedings not subject to arbitration shall be brought exclusively in the state or federal courts located in Davidson County, Tennessee.
If any provision of these Terms is held to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable.
These Terms, together with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and Nashville Big Game Business Ecosystem, LLC concerning your use of the Platform. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
